These Terms of Service govern your access to and use of the Delta Docs service operated by Delta Software Solutions, LLC. By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
These Terms apply to your use of the Delta Docs online document comparison service and all related websites, applications, reports, outputs, and services we provide. If you use the Service on behalf of a company, employer, or other organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" includes that organization.
"Service" means the Delta Docs online document comparison platform, website, applications, and related services.
"User Content" means any documents, drawings, specifications, contracts, text, files, data, or other materials that you upload, submit, transmit, or otherwise provide through the Service.
"Delta Report" means any output, report, markup, comparison, summary, annotation, or other result generated by the Service.
"Link Expiration Period" means the user-selected period during which a report access link remains active, which may be one (1) hour, twenty-four (24) hours, forty-eight (48) hours, seventy-two (72) hours, or one (1) week.
"Retention Window" means the period during which the Company may retain a Delta Report before deletion, which is up to seven (7) days unless otherwise stated by the Company.
Delta Docs is a document comparison tool intended to assist users in identifying differences between documents. The Service is not a substitute for professional judgment, independent review, internal quality control, or any legal, technical, architectural, engineering, project management, compliance, or other professional review process.
You are solely responsible for reviewing and validating all Delta Reports and for determining whether any output is accurate, complete, and suitable for your intended use. You must not rely on the Service or any Delta Report as the sole basis for decisions involving pricing, scope, compliance, safety, constructability, legal rights, contractual obligations, or project execution.
You acknowledge and agree that the Service and any Delta Report may contain errors, omissions, missed changes, false positives, false negatives, incomplete comparisons, or other inaccuracies. The Service is provided as an aid only and not as a guarantee of accuracy, completeness, or fitness for any particular purpose. You are solely responsible for all review, verification, decisions, actions, and outcomes arising from or related to your use of the Service. You assume all risk of loss, damage, delay, cost, claim, dispute, or liability arising from reliance on the Service or any Delta Report.
You must be at least eighteen (18) years old to use the Service. You agree to provide accurate, current, and complete registration, billing, and account information and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized access to or use of your account.
You may use the Service only for lawful purposes and in compliance with these Terms. You may not:
use the Service in violation of any applicable law, regulation, contract, or third-party right; upload, transmit, or submit unlawful, infringing, fraudulent, defamatory, or malicious content; upload viruses, malware, or other harmful code; interfere with, disrupt, or attempt to gain unauthorized access to the Service, its infrastructure, or related systems; reverse engineer, scrape, probe, scan, or test the vulnerability of the Service except as expressly authorized in writing by the Company; use the Service to build, benchmark, or assist in creating a competing product or service; misrepresent your identity or your authority to submit documents through the Service; or use the Service in any way that could damage, disable, overburden, or impair the Service or other users' access to it.
We may suspend or terminate access to the Service for any violation of this Section.
You retain ownership of your User Content. The Company does not claim ownership of your documents. You grant the Company a limited, non-exclusive license to host, process, and display User Content solely to provide the Service. You represent that you have all rights necessary to upload and process User Content through the Service.
Unless expressly agreed in writing, do not upload PHI subject to HIPAA, PCI cardholder data, government-issued IDs, financial account credentials, trade secrets, or classified information. No system is 100% secure — you are responsible for assessing whether the Service is appropriate for your documents and risk profile.
The Company's collection and use of personal information is described in the Privacy Policy. By using the Service, you acknowledge our privacy practices.
You are solely responsible for maintaining custody and backups of all documents you upload and all Delta Reports you generate. The Company may retain User Content and Delta Reports for up to seven (7) days and may delete them after that period. Download links expire after the Link Expiration Period you select. Once a link expires or the Retention Window ends, you cannot retrieve old documents or Delta Reports from the Company.
The Company is not responsible for any lost, deleted, corrupted, or inaccessible Delta Reports or uploaded documents, including due to link expiration, retention limits, user error, outages, or security incidents.
The Company is not responsible for any damage, loss, or claims resulting from comparison errors, missed changes, false positives, false negatives, or omissions in any Delta Report. You accept that such errors can occur and agree you will independently verify outputs.
If the Service is offered on a paid basis, you agree to pay all fees associated with your subscription or orders. You are responsible for applicable taxes except taxes based on the Company's net income. Subscription details, billing terms, cancellation procedures, and refund policies are described at the time of purchase and may be updated from time to time.
The Service is provided "as available." The Company may perform maintenance, modify features, or suspend the Service temporarily or permanently. Beta or experimental features may be unstable and may be changed or discontinued at any time. The Company does not guarantee uninterrupted or error-free operation.
The Company and its licensors own all rights in and to the Service, including software, design, branding, and trademarks, excluding User Content. You receive a limited, non-transferable right to access and use the Service during the term, subject to these Terms.
The Service and all Delta Reports are provided "as is" and "as available." To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business. The Company will not be liable for damages related to construction project costs, change orders, delays, defects, or safety incidents.
You agree to defend, indemnify, and hold harmless the Company, its affiliates, and their officers, directors, employees, and agents from any claims arising from your User Content, your use of the Service, your violation of these Terms, or your negligence or misconduct.
The Service may rely on third-party providers such as hosting, storage, and payment processing. The Company is not responsible for third-party services, outages, or their terms and privacy practices.
The Company may suspend or terminate your access immediately if you violate these Terms, the Company suspects fraud or security risk, or the Company is required to do so by law. After termination, the Company has no obligation to retain or provide access to documents or reports beyond the Retention Window.
These Terms are governed by the laws of the State of Florida, USA. Unless arbitration applies, disputes will be brought exclusively in state or federal courts located in Florida.
The Company is not liable for delays or failures due to events beyond our reasonable control, including natural disasters, power or Internet outages, labor disputes, governmental actions, or third-party service failures.
The Company may update these Terms from time to time. Changes will be effective when posted. Your continued use after the effective date constitutes acceptance. If you do not agree to changes, you must stop using the Service.
These Terms are the entire agreement regarding the Service. If any provision is unenforceable, the remainder remains in effect. You may not assign these Terms without the Company's consent. Failure to enforce a provision is not a waiver.
